Hyderabad-based drugmaker Aurobindo Pharma is expanding its US manufacturing footprint through a major acquisition.

The company announced that its US subsidiary, Aurobindo Pharma USA Inc., has signed an agreement to acquire Lannett Company LLC for a total enterprise value of USD 250 million (approximately INR 21,850 crore).

As part of the deal, Aurobindo will purchase 100 percent membership interest in Lannett from its parent entity, Lannett Seller Holdco, Inc. The transaction is being executed on a cash-free, debt-free basis and includes normalised working capital levels.

Founded in 1942 and headquartered in Trevose, Pennsylvania, Lannett manufactures and supplies complex generic pharmaceuticals, including DEA-controlled substances.

The company specialises in non-opioid controlled substances, particularly treatments for Attention Deficit Hyperactivity Disorder (ADHD), and has launched multiple generic liquid formulations in the market.

Lannett operates a 425,000-square-foot cGMP manufacturing facility in Seymour, Indiana, with an annual production capacity of approximately 3.6 billion tablets.

This acquisition enables Aurobindo to enter the ADHD therapeutics space—an area in which it currently has limited presence. The deal also adds a growing contract development and manufacturing organisation (CDMO) business to Aurobindo’s portfolio.

The transaction is subject to regulatory approvals, including clearance from the US Federal Trade Commission, and is expected to close within 8 to 12 months. The acquisition will be funded through cash consideration.
