Crane NXT, a leading industrial technology company, announced that it has signed definitive agreements to acquire a significant stake in Antares Vision S.p.A., with plans to take the company private.

Antares Vision is a global provider of inspection and detection systems that ensure product safety and quality, as well as track-and-trace software that combats counterfeiting and enhances supply-chain visibility. The deal strengthens Crane NXT’s presence in high-growth sectors such as life sciences and food & beverage.

Under the agreements, Crane NXT will acquire roughly 30% of Antares Vision from Regolo S.p.A. and Sargas S.r.L. at €5.00 per share, valuing the stake at about €120 million. In line with Italian takeover rules, Crane NXT will then launch a mandatory tender offer for the remaining publicly traded shares at the same price, implying a total enterprise value of approximately €445 million. Following the tender offer, Crane NXT intends to delist Antares Vision and purchase Regolo’s remaining shares, making Antares Vision a wholly owned subsidiary.

Crane NXT CEO Aaron W. Saak said the transaction aligns with the company’s strategy to deliver advanced technologies that secure and authenticate critical assets amid rising regulatory demands and increasing counterfeiting. Antares Vision Chairman Emidio Zorzella said the company is “excited to join Crane NXT” and continue building innovative solutions for global customers.

The deal is expected to close in the first half of 2026, pending regulatory approvals. Antares Vision reported about €200 million in revenue in FY 2024 with an adjusted EBITDA margin of ~15%. Crane NXT expects the acquisition to be accretive to adjusted EPS in the first full year, with double-digit ROIC projected by year five through growth and synergies.
