Emcure Pharmaceuticals has announced the incorporation of a new wholly-owned subsidiary (WoS) named Emcure Wellness Private Limited in Pune, Maharashtra. 

The new entity was officially incorporated on July 3, 2025, following necessary regulatory approvals, the company disclosed in a filing to the stock exchanges.

Earlier on June 21, the company’s Board of Directors approved the proposal to establish a new subsidiary focused on the manufacture, promotion, sale, and distribution of pharmaceutical and related products. 

According to the disclosed details, Emcure Wellness has an authorised share capital of INR 10 crore and a proposed paid-up capital of INR 1 lakh.

This development comes on the heels of several strategic moves by Emcure.

In June, the company secured board approval to acquire the remaining 20.42 percent stake in Zuventus Healthcare Ltd. from minority shareholders for INR 724.9 crore. The transaction, expected to close in Q2 FY 2026, will make Zuventus a wholly-owned subsidiary.

“This transaction will enable full financial consolidation of Zuventus and drive long-term value creation for Emcure, through alignment across its domestic business and unlock synergies,” the company noted in its official statement.

Emcure also has plans to expand its gynaecology and dermatology product portfolios in the Indian market during FY26.

Additionally, in April 2025, its European subsidiary Tillomed Laboratories signed an Asset Purchase Agreement (APA) with UK-based Manx Healthcare Limited and its subsidiaries, Manx Pharma Ltd. and Manx Generics Limited, further strengthening Emcure’s presence in international markets.
