Senores Pharmaceuticals to Acquire Apnar Pharma and Five ANDAs

Senores Pharmaceuticals has entered into an agreement to acquire 100 percent equity in Apnar Pharma, along with a portfolio of five Abbreviated New Drug Applications (ANDAs), as part of its strategy to expand its footprint in regulated pharmaceutical markets.

Apnar Pharma is engaged in the development, licensing and manufacturing of generic medicines for regulated markets such as the United States, the United Kingdom and Canada. The company operates a manufacturing facility in Gujarat that holds approvals from multiple global regulatory authorities, including the US FDA, the UK MHRA and Health Canada.

The acquisition has an enterprise value of approximately INR 91 crore. This includes around INR 76 crore towards debt and expected liabilities related to the manufacturing facility, while the remaining INR 15 crore will be paid in cash in two tranches. The cash component will be funded through a mix of IPO proceeds and internal accruals.

The transaction will be completed in two phases, with the first phase expected to close by March 2026 and the second phase targeted for completion in the second quarter of the 2027 financial year.

Senores said the acquisition will enhance its manufacturing capabilities and provide access to approved ANDAs, some of which are expected to be commercialised in the near term, strengthening the company’s presence in regulated markets.
