Swedish Orphan Biovitrum AB (publ) (Sobi) and Innate Pharma SA (Innate Pharma) announced that their previously announced strategic partnership has become effective following the expiration of applicable antitrust waiting periods and the fulfilment of other conditions.

Sobi entered into the strategic partnership with Innate Pharma on August 10, 2026, to enable the initiation of the TELLOMAK-3 confirmatory Phase 3 study of lacutamab in Cutaneous T-Cell Lymphoma (CTCL). The study is expected to support a planned accelerated approval filing for lacutamab in Sézary syndrome, a subtype of CTCL, with the first patient expected to be enrolled in the first quarter of 2027.

Under the agreement, Innate Pharma will conduct the TELLOMAK-3 Phase 3 confirmatory trial in CTCL. The study is also intended to support applications for full approval in key jurisdictions for Sézary syndrome and mycosis fungoides, the most common subtype of CTCL.

Sobi will receive exclusive global commercialisation rights for lacutamab upon potential accelerated approval. The company will also be eligible to assume full global development rights following positive Phase 3 results.

As part of the agreement, Sobi will pay Innate Pharma USD 75 million following the partnership becoming effective. Innate Pharma is also eligible to receive up to USD 40 million in near-term development milestones related to Sézary syndrome.

In addition, Innate Pharma could receive up to USD 465 million associated with Sobi’s option to obtain full development rights, as well as future regulatory and commercial milestones. The company will also be eligible for tiered double-digit royalties on net sales.
