Tokyo Court Dismisses NTK's JPY 203.3 Billion Claims Against Daiichi Sankyo

Daiichi Sankyo announced that the Tokyo District Court has dismissed all claims filed by Northern TK Venture (NTK), an indirect wholly owned subsidiary of IHH Healthcare Berhad, in a lawsuit seeking damages and other relief against the company.

NTK originally filed the lawsuit on October 16, 2023, seeking JPY 20 billion in damages. On May 9, 2025, NTK amended its claim, increasing the amount sought to JPY 203,301,807,840. The claims also included an injunction against alleged interference with the acquisition of shares and a request for Daiichi Sankyo to publish a statement on its website and submit the same document to the Securities and Exchange Board of India (SEBI).

The dispute arose from enforcement proceedings in India relating to an arbitral award dated April 29, 2016 involving former shareholders of Ranbaxy. During those proceedings, NTK’s tender offer for Fortis Healthcare was suspended following a decision by the Supreme Court of India.

NTK alleged that it suffered damages, including losses resulting from the suspension of the tender offer, due to interference by Daiichi Sankyo. Daiichi Sankyo maintained that the allegations had no merit and that the suspension resulted from the Supreme Court of India’s decision in the course of the enforcement proceedings.

On September 10, 2026, the Tokyo District Court accepted Daiichi Sankyo’s arguments and dismissed all of NTK’s claims. Daiichi Sankyo said the judgment supports its position.

The company stated that the judgment will have no impact on its financial results at this time. If NTK appeals the judgment, Daiichi Sankyo said it will continue to defend its position in the appellate proceedings.
