Vertex Pharmaceuticals Incorporated has entered into a definitive agreement to acquire Crinetics Pharmaceuticals, Inc. in an all-cash transaction valued at approximately USD 10 billion, strengthening its presence in rare endocrine disorders and expanding its portfolio beyond its core cystic fibrosis business.
Under the terms of the agreement, Vertex will acquire all outstanding shares of Crinetics for USD 85 per share in cash, representing a net transaction value of approximately USD 8.8 billion after accounting for estimated cash acquired. The deal has been unanimously approved by the boards of both companies and is expected to close in the third quarter of 2026, subject to regulatory approvals and approval by Crinetics' shareholders.
The acquisition brings to Vertex PALSONIFY (paltusotine), the first and only once-daily oral treatment approved for adults with acromegaly, a rare hormonal disorder caused by excess growth hormone secretion from pituitary tumours. The therapy received approval from the US Food and Drug Administration (FDA) in September 2025 and has since secured approval from the European Medicines Agency (EMA), while regulatory reviews continue in other global markets.
According to the companies, PALSONIFY has demonstrated strong early commercial momentum since its launch, supported by increasing physician adoption, expanding reimbursement coverage, and demand across both treatment-naïve and previously treated patient populations.
Vertex will also gain access to Crinetics' late-stage pipeline candidate, atumelnant, a once-daily oral adrenocorticotropic hormone (ACTH) receptor antagonist currently in Phase 3 clinical development for congenital adrenal hyperplasia (CAH). The investigational therapy has shown promising Phase 2 results, enabling patients to achieve near-normal androgen levels while using physiologic doses of glucocorticoids, potentially addressing a significant unmet need in the treatment of the rare genetic disorder.

From a financial perspective, Vertex expects the acquisition to contribute immediately to revenue growth through the continued rollout of PALSONIFY. Longer term, the company believes atumelnant has multi-billion-dollar commercial potential in CAH, with additional opportunities in Cushing's syndrome. At peak, the combined assets are projected to generate more than USD 5 billion in annual revenue, supporting Vertex's strategy of sustained double-digit revenue growth. The company expects the acquisition to become accretive to non-GAAP operating income by 2029.
Vertex plans to finance the acquisition through a combination of existing cash reserves and debt financing, supported by USD 4.5 billion in fully committed bridge financing from Bank of America and Morgan Stanley.
Morgan Stanley and Lazard are serving as financial advisors to Vertex, while J.P. Morgan Securities and Leerink Partners are advising Crinetics on the transaction.
